Terms of Service

These Terms of Service ("Terms") govern your access to, usage of all content, products and services available at the AST Consulting LLC website (the "Service") operated by AST Consulting LLC ("us", "we", or "our").

Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.

1. Consulting Services, Timelines, and Payment

Scope of Services: We agree to provide consulting and advisory services as explicitly described in a separate Statement of Work (SOW) or services agreement. This will document project timelines, deliverables, workshops, analyses, and any agreed implementation support. This framework defines the parameters of our engagement.

Payment Terms: Client agrees to remit payment for services as specified in the SOW. Retainers, fixed-fee milestones, and expense reimbursements (if any) are due according to the schedule in the agreement. Failure to honor timely payments may result in suspension or termination of active consulting work until accounts are brought current.

2. Intellectual Property & Work Products

The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with AST Consulting LLC and its licensors. Frameworks, methodologies, templates, and pre-existing materials developed by us prior to or independent of the engagement remain our intellectual property unless otherwise agreed in writing. Client-provided materials and confidential information remain the property of the Client. Deliverables identified as owned by the Client in the SOW will be treated accordingly.

3. Client Responsibilities & Information Access

The Client agrees to provide timely access to information, stakeholders, and systems reasonably required for us to perform the services. This may include operational data, organizational charts, policies, and collaboration tools agreed in the SOW. The Client is responsible for the factual accuracy and legal compliance of all materials it provides and for decisions it makes based on our recommendations.

4. Termination

Either party may terminate the agreement with 30 days formal written notice unless a different notice period is stated in the SOW. We may suspend or terminate access to all or any part of our consulting services where permitted by law or the agreement, including for non-payment or material breach of these Terms.

All provisions of the Agreement which by their technical nature should logically survive termination shall survive termination, including, without limitation, ownership provisions, explicit warranty disclaimers, structural indemnity, and limitations of liability.

5. Disclaimer of Warranties

Our consulting services are provided strictly "AS IS" and "AS AVAILABLE". AST Consulting LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Consulting recommendations depend on information you provide and conditions we do not control; we do not guarantee specific business outcomes, financial results, or third-party actions.

You use our Site and services at your own risk.

6. Limitation of Liability

To the maximum extent permitted by law, AST Consulting LLC and its suppliers and licensors will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to these Terms or the services—even if advised of the possibility of such damages. Our aggregate liability arising out of or related to the services will be limited to the fees paid to us for the services giving rise to the claim during the twelve (12) months preceding the claim, unless a different cap is set forth in the SOW.

7. Jurisdiction and Applicable Law

Except where applicable law requires otherwise, these Terms and your use of the Service will be governed by the laws of the jurisdiction specified in your services agreement, or if none is specified, the laws applicable to AST Consulting LLC's principal place of business as stated on the Site.

8. Changes to These Terms

AST Consulting LLC may modify these Terms from time to time. If we make material changes, we will provide reasonable advance notice where required, such as by posting an updated effective date on the Site or notifying you through the contact information we have on file.
